Terms and Conditions for Oriflame

 

By signing this Registration Form I hereby agree to become an Independent Purchaser of Oriflame Cosmetics Nigeria Limited (hereinafter “Oriflame”), subject to the consent of the latter.

I confirm the accuracy of the data mentioned above and agree to inform Oriflame of all changes thereto without undue delay, but not later than within 7 days from the occurrence of such change.

I confirm that I have read the conditions of enrolment on the back of this Registration Form and I undertake to respect them without reservation; violations of these conditions may result in penalties that may be unilaterally imposed by Oriflame.

 

I understand that the personal data submitted by me in this Registration Form may be used by Oriflame and any member of the Oriflame Group and by Oriflame third party contractors including other Oriflame Independent Purchasers (“Authorised Parties”), within and outside Nigeria, to process my orders for Oriflame Products, to administer my membership and for statistical and marketing purposes.

ü  I expressly consent to the transfer, storage and use of my personal data outside Nigeria for the purposes above. I understand that I may at any time ask Oriflame for access to my personal data by sending an e-mail to privacy@oriflame.com or by otherwise explicitly addressing Oriflame.

ü  I expressly consent to the Authorised Parties sending me promotions and offers by email, short message text on my mobile phone and post and making them available to me through social media so that I may market Oriflame products or (if I so wish) buy Oriflame products for personal use. I understand that I may at any time opt out of receiving further marketing notification by sending an e-mail to marketing@orflame.com.ng or by otherwise explicitly addressing Oriflame.

I hereby confirm that I have received a copy of the Oriflame Privacy Policy and the Oriflame Rules of Conduct; I have been made aware of the Oriflame direct selling and compensation plan as laid out in the Oriflame Success Plan. I can access all of these documents on the Oriflame website at www.oriflame.com.ng, by emailing privacy@oriflame.com or by contacting my local Oriflame customer service team.

I acknowledge that the rules of this Registration Form will be overridden by any specific Terms and Conditions that I may be offered to accept upon registering to buy products on the Oriflame online platforms.

 

CONDITIONS OF ENROLEMENT

Oriflame may use different terminology to that used in this Registration Form in its global framework Oriflame Literature. In the event of a conflict between the terms or definitions used in the global framework Oriflame Literature and this Registration Form the terms of this Registration Form shall prevail. By signing this Registration Form the applicant becomes an Oriflame Inde­pendent Purchaser.

1. Only persons who have the capacity to con­tract under the Nigerian law are allowed to become Oriflame Independent Purchasers.
2. The Independent Purchaser agrees to pay an administrative fee as well as the cost of a one-off Starter Kit. The registration will ex­pire at its anniversary and can be renewed by paying of a renewal administrative fee. The Independent Purchaser may at any time resign his / her registration in writing; refund of the administrative fee and any oth­er payments is subject to conditions of the Oriflame Rules of Conduct.

 

3. The Independent Purchaser acknowledges that at the date of signature of this Registra­tion Form s/he has been provided with, or made aware of the Oriflame Opportunity Brochure, the Oriflame Privacy Policy, the Rules of Conduct and the Oriflame Success Plan (jointly “the Oriflame Literature”) and undertakes to comply with them. The Independent Purchaser accepts to hold Oriflame harmless, including towards third parties, for any loss or damage resulting from non-compliance with the rules estab­lished in the Oriflame Literature. By citing them herein, the Oriflame Opportunity Brochure the Oriflame Privacy Policy, the Rules of Conduct and the Oriflame Success Plan become an integral part of this Reg­istration Form. Oriflame may, at any time and at its own discretion, make changes to the Oriflame Literature; such changes may be communicated to the Independent Pur­chaser through various information channels including through briefings or electronic me­dia (website or email) as well as in Oriflame Newsletters and in the Oriflame service centers. These changes shall become effec­tive immediately upon their publication un­less another date has been explicitly speci­fied in the publication, and shall be deemed have been accepted if the Independent Pur­chaser places an order after the communica­tion of the changes.

 

4. Registration with Oriflame results in the possibility to purchase cosmetic products marketed under the Oriflame name by the Independent Purchaser at a discounted price. Further benefits may be available as described in detail in the Oriflame Success Plan. It is understood that the performance discount and bonuses paid to the Indepen­dent Purchaser are inclusive of 5% VAT and will be subject to withholding tax deduction at the applicable rate.

 

5. It is understood that the Independent Pur­chaser buys the Oriflame products for per­sonal consumption or that of her relatives and friends. However, if the Independent Purchaser chooses to resell the Oriflame Products in the course of a commercial activity s/he will do so in strict compliance with the applicable provisions of the Nige­rian legislation and strictly in his / her name and account. The Independent Purchaser shall inform Oriflame of any such activity without delay and shall provide details of their registration, if and as may be required by Oriflame.

 

6. Any commercial activity with or related to the Oriflame Products shall be conducted in the name and at the expense of the In­dependent Purchaser. For the avoidance of doubt the Independent Purchaser shall be solely responsible and liable for any and all losses, claims, damages, costs, expenses, risks, taxes, registration and filing as well as other statutory liabilities envisaged for the specific activity performed by the Independent Pur­chaser, including any consumer protection and data privacy rules.

 

7. If the Independent Purchaser chooses to market the Oriflame products s/he shall only use the sales methods approved by Oriflame.

 

8. The Independent Purchaser shall not use any advertising medium that has not been pre-approved by Oriflame. The Independent Purchaser undertakes not to modify or al­ter in any way the Oriflame Products, their packaging and any information displayed on them.

 

9. The Independent Purchaser also agrees, under penalty of termination, not to sell, display or expose the Oriflame Products in fixed points of sale, any retail outlet, web shop, auction platform such as Ebay or the like. The Independent Purchaser agrees to market the Oriflame Products in a faithful and honest manner and not to make any false or exaggerated claims about the Oriflame Product and the Oriflame sales model. For the avoidance of doubt the claims that the Independent Pur­chaser makes shall be based solely on the Oriflame Product Guide and the other sales materials distributed by Oriflame.

 

10. The Independent Purchaser agrees to use the Oriflame network strictly for the promotion of Oriflame Products.
11. The Independent Purchaser is neither an employee nor a subordinate, agent or a fran­chisee of Oriflame. The signing of this Regis­tration Form does not create a partnership or association between Oriflame and the In­dependent Purchaser. The Independent Pur­chaser is therefore not entitled to act in the name or on behalf of Oriflame, to engage or represent Oriflame in any way or to under­take responsibilities on behalf of Oriflame.

 

12. By signing this Registration Form the In­dependent Purchaser acknowledges and agrees that the Independent Purchaser’s debts towards Oriflame can be deducted by Oriflame from any amounts due to the Independent Purchaser.

 

13. The Independent Purchaser agrees that all orders are subject to acceptance by Oriflame and product availability.

 

14. The Independent Purchaser shall submit any complaints regarding purchased Oriflame Products no later than within 14 days from the receipt of such products. Oriflame will make sure every claim is considered and, if accepted, will satisfy including by replacing products or making refunds.

 

15. All disputes and claims that may arise in con­nection with this Registration Form shall be subject to the exclusive jurisdiction of the competent court in Nigeria.

 

16. The registration will be effective from the date of acceptance of the application by Oriflame and the issue of an Independent Purchaser Number. The registration can be terminated by Oriflame and by the Indepen­dent Purchaser with a 30-days’ notice and without a reason.

 

17. In case of breach by the Independent Pur­chaser of any of the conditions of this Reg­istration Form or Oriflame Literature, the Independent Purchaser’s registration may be terminated by Oriflame unilaterally with a 10-days’ notice in cases if:

 

1. a. the Independent Purchaser has become insolvent or has accrued substantial debt or has repeatedly delayed due payments;
2. b. the Independent Purchaser has made a false statement in the Registration Form or failed to inform Oriflame of any sub­sequent changes in the data reflected on the Registration Form, in particular changes to their address;
3. c. the Independent Purchaser has violated any of the conditions of this Registration Form, including any of the conditions laid out in the Oriflame Literature.
